Please read the below information carefully as it outlines important terms and conditions. By submitting an order on this web site you are agreeing to the terms that appear below and to the specific product terms and conditions that apply to the item purchased and that you are aware these apply to any purchase made on this web site.

PURCHASE CONTRACT

This web site is operated by Regus Management UK Ltd (hereafter known as "we", "us" or "our"). Regus Management UK Limited is a company registered in the United Kingdom with a registration number of 02755077, VAT number: GB 823 8306 34. All purchases made on this web site are governed by these Terms and Conditions (including specific product terms and conditions) at any time although the Terms and Conditions governing any given purchase will be those in effect at the date of your order. If you order products or services after we have published any changes you will be bound by those changes. Accordingly, you should check prior to each order to ensure that you understand the precise terms and conditions applicable to your purchase at that given time.
We will confirm acceptance of your order in English, when your transaction is completed. This will occur by us sending an e-mail to the e-mail address you have provided to us.

PRICE AND CHARGES

The price of the products or services you select will be as quoted on the web site at the time you confirm your order subject only to any inadvertent technical error for which we will not be liable. If you subsequently amend your order to add items, the prices charged will be those applicable to the new item(s) at the time that the amended order is confirmed. Please note that as promotions are offered for a limited period of time subsequent amendments to your order may mean that certain promotions are no longer being offered.

METHODS OF PAYMENT

Payment may be made by debit, credit or charge card or cheque. The debit, credit and charge cards accepted by us are those listed on the web site on the date on which your order is placed. If you wish to make your payment over the phone or to mail a cheque, you can call the number listed on the website to speak to a customer service representative for details.
We reserve the right to terminate our agreement with you if we are refused payment authorization or reasonably believe that payment will be refused at any time. You agree to fully compensate us against all reasonable costs, expenses and outgoings incurred by us in obtaining payments from you in the event a failed payment occurs.

GOVERNING LAW

Any purchase made on our web site will be governed by the laws of England.
PRODUCT SPECIFIC TERMS & CONDITIONS

THE BELOW TERMS AND CONDITIONS SPECIFCALLY APPLY TO THE REGUS ASSIST PRODUCT:

1. Use:

As a Regus Group Disaster Recovery Assist cardholder, during invocation periods, you will have the right to use all participating Regus Group centres worldwide during standard business working hours, subject always to availability and our Local Terms and Conditions explained below. The Disaster Recovery Assist Programme is intended for your temporary use of our facilities and we reserve the right to limit or terminate your usage if we consider it to be excessive.

2. Duration:

Your membership to the programme is valid for a period of 12 months from the date the card is issued. Your membership will automatically renew unless cancelled in writing at least 30 days prior to the end of the then current term. Your Disaster Recovery invocation card will be sent to you within 28 days of purchase.

3. Access Cards:

Access cards cannot be transferred or assigned or used by any person other than the one named on the card.

4. Invocation Process:

To invoke your agreement you simply call the invocation phone number which will be provided on your access card. Worldwide business centre location information can be reviewed at www.regus.com.

5. Security:

For security reasons, you may be required to present your access card along with a valid picture form of identification.

6. Payment of Services:

Use of all services and products are subject to availability. Payment for services used will be made locally. Our standard service agreement terms and conditions in general use at the centre(s) allocated to you (“Local Terms and Conditions”)*1 will automatically apply to your use of any particular service and your use of the accommodation is subject to your continued compliance with those Local Terms and Conditions. Your agreement is interpreted and enforced in accordance with the laws of the country in which the business centre in question is located. We both accept the exclusive jurisdiction of the courts of such jurisdiction where the centre is located. In the event of any conflict between these terms and conditions and the Local Terms and Conditions, the latter will take precedence.

7. The extent of our liability:

We are not liable to you in respect of any loss or damage you suffer in connection with your agreement, with the services or with your accommodation unless we have acted deliberately or negligently in causing that loss or damage. If the cause of the loss or damage is our failure to provide a service under your agreement, then we are also not liable for that loss or damage until you have told us about the failure and given us a reasonable time to put it right. If we are liable for failing to provide you with any service under your agreement then subject to the exclusions and limits set out immediately below we will pay any reasonable expenses you have incurred in obtaining that service from an alternative source.

8. Exclusion of consequential losses etc:

We will not in any circumstances have any liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss unless we otherwise agree in writing. We strongly advise you to insure against all such potential loss, damage expense or liability.
If your Disaster Recovery access card is lost or stolen, a new card will be issued at our absolute discretion and you may incur a nominal fee.
The Disaster Recovery access card issued to you remains the property of the Regus Group at all times and must be surrendered upon request.
The Disaster Recovery access card is intended for your temporary use of our facilities under each plan and we reserve the right to limit or terminate your usage if we consider it to be excessive. At the end of each day, you must leave any areas of the centre as you found them, free of any personal items or rubbish.
Regus reserves the right to alter or terminate the Disaster Recovery Assist programme at any time without notice.

9. Notices:

All formal notices must be in writing.

10. Confidentiality:

The terms of your business continuity agreement are confidential. Neither of us must disclose them without the other's consent unless required to do so by law or an official authority. This obligation continues after your business continuity agreement ends.

11. Late Fees:

If you do not pay fees when due, a service fee of £25 (or local equivalent) plus 5% penalty will be charged on all overdue balances under £500 or a fee of £50 (or local equivalent) plus 5% penalty on all overdue balances will be charged on all overdue balances of £500 (or local equivalent) or greater. If you dispute a part of any invoice you must pay the amount not in dispute by the due date or be subject to late fees. The amount of penalties and fees we charge will be the lesser of the amounts stated, or the legally enforceable maximum, whichever is the lesser. We also reserve the right to withhold services, including denying you access to your accommodation, while there are any outstanding fees and interest or you are in breach of your agreement.

THE BELOW TERMS AND CONDITIONS SPECIFCALLY APPLY TO THE REGUS RESTART PRODUCT

1. Use:

Prior to occupying any workstations under your Disaster Recovery Restart agreement you will be required to enter into our standard office service agreement. The service and your use of the accommodation is subject to your continued compliance with this agreement. If you would like a copy of this agreement it is available upon request at any time. We give no warranty or guarantee as to the proximity of the relevant participating Regus Business Centre to your current or future accommodation. Use of the positions can be on a daily, weekly or monthly basis upon availability at the current market price. Use of all services and products are subject to availability. Payment for services used will be made locally.

2. Duration:

A Regus Disaster Recovery representative will take all your details along with the first and second choice centres for occupation and work with you until we are able to place the number of specified people on the agreement. Positions will be provided upon availability. Restart clients will have priority placement over ‘walk-in’ clients. If multiple Restart clients request the same location they will be handled in a first-come first-serve priority basis. Provision of accommodation is strictly subject to availability. We do not warrant or guarantee workstations in any pre-chosen location prior to or during invocation. We will endeavour to place you in the location of your first or second choice but, where we cannot, we will place you in surrounding locations in the network where there is availability.
